1. Acceptance of Terms

By accessing or using the NeuraBIM platform ("Service"), operated by NeuraBIM ("NeuraBIM", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.

If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

2. Description of Service

NeuraBIM provides an AI-powered BIM clash detection and coordination software platform. The Service includes web-based tools for uploading BIM models, detecting and ranking clashes, assigning trades, generating reports, and collaborating with project teams.

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete registration information
  • Maintain the security of your password and account
  • Notify us immediately of any unauthorised use of your account
  • Accept responsibility for all activities that occur under your account

4. Subscription Plans and Payment

The Service is offered under various subscription plans as described on our pricing page. By subscribing to a paid plan, you agree to pay the applicable fees. All fees are quoted in British Pounds Sterling (GBP) and are exclusive of VAT unless otherwise stated.

  • Subscriptions renew automatically unless cancelled before the renewal date
  • We reserve the right to change our pricing with 30 days' advance notice
  • Refunds are available within 14 days of initial purchase for annual plans

5. Your Data and Content

You retain all rights to the data and content you upload to the Service ("Your Content"). By uploading Your Content, you grant us a limited licence to process, store, and display it solely for the purpose of providing the Service to you.

  • We do not claim ownership of Your Content
  • We do not use Your Content for AI model training
  • We do not share Your Content with third parties except as required to provide the Service
  • You are responsible for ensuring you have the right to upload Your Content

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorised access to the Service or its related systems
  • Interfere with or disrupt the Service or servers
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to transmit malware or other harmful code
  • Resell or redistribute the Service without our written consent

7. Intellectual Property

The Service, including its design, features, algorithms, documentation, and all associated intellectual property, is owned by NeuraBIM. Nothing in these Terms grants you any rights to our intellectual property except the limited right to use the Service in accordance with these Terms.

The NeuraBIM name, logo, and all related marks are trademarks of NeuraBIM.

8. Availability and Support

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. Support levels depend on your subscription plan as detailed on our pricing page.

9. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied
  • NeuraBIM shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim
  • We do not warrant that the AI predictions or clash rankings will be error-free. Users should apply professional judgement when acting on results from the Service

10. Indemnification

You agree to indemnify and hold harmless NeuraBIM, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.

11. Termination

Either party may terminate the agreement:

  • You may cancel your account at any time through your account settings
  • We may suspend or terminate your access if you breach these Terms
  • Upon termination, your right to use the Service ceases immediately
  • We will make your data available for export for 30 days following termination

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. General Provisions

  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of that provision.
  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and NeuraBIM regarding the Service.
  • Assignment: You may not assign your rights under these Terms without our prior written consent.
